1. Definitions

• “Service” or “GDS”: The Game Differentiation Scoreboard SaaS platform, including updates and support.
• “Customer,” “you,” or “your”: The individual or entity subscribing to or using GDS.
• “Subscription Term”: The period for which you have paid (monthly or annually), including any free-trial period.
• “Authorized Users”: Employees, contractors, or agents authorized by you to use GDS under your account.
• “Content”: Any data, input, or material (including private project data or public reviews) that you or your Authorized Users submit to GDS.

2. Acceptance & Eligibility

• Binding Agreement: By using GDS, you agree to these Terms and our Privacy Policy.
• Eligibility: You must be at least 18 years old and capable of entering into a binding contract.
• Responsibility for Authorized Users: You are responsible for all actions taken under your account, including those of any Authorized Users.

3. Subscription

• Subscription Plans: Access to GDS is available through paid subscription plans. You will be billed based on the plan you choose at the time of registration.
• Free Trial: We may offer a 14-day free trial at our discretion. If available, you may cancel at any time during the trial period to avoid charges. After the trial ends, you will be billed according to your selected subscription plan.
• Automatic Renewal: Your plan renews unless canceled at least one day before renewal.
• Plan Changes: You may upgrade or downgrade your subscription at any time via your account settings.
• Upgrades: Upgrades take effect immediately. You’ll be charged a prorated amount based on the time remaining in your current billing cycle.
• Downgrades: Downgrades take effect at the end of the current billing cycle. Any unused time will be prorated and credited to your account. Credits are automatically applied to future invoices but are not eligible for refunds.

4. Payment Terms

• Fees: You agree to pay all subscription fees and applicable taxes.
• Payment Methods: We accept credit and debit cards, PayPal, SEPA Direct Debit (EU), and regionally supported methods such as iDEAL, Apple Pay, and Google Pay.
• Late or Failed Payments: If payment fails, we may suspend or terminate your access to GDS per Section 9. To avoid interruptions, keep your payment information valid and up-to-date.
• Refund Policy: Subscription fees are non-refundable except where required by law. If you cancel, you will retain access until the end of your billing period.

5. License & Restrictions

• License Grant: Subject to these Terms and timely payment, we grant you a non-exclusive, non-transferable right to use GDS during your Subscription Term solely for your internal business purposes.
• Sharing Within Subscription Rights: Subscription plans include features that allow you to share reviews, reports, or analyses with individuals of your choosing (e.g., teammates, clients, or workshop participants). Such sharing must remain limited to non-public distribution and may not be used to broadly publish or display GDS Outputs.
• Prohibition on Public Display: Unless you have obtained a commercial license, you may not publish, display, or otherwise make available any GDS Outputs (including scores, reports, dashboards, insights, or comparative analyses) to the general public through websites, storefronts, social media, articles, or other public platforms.
• Commercial Licenses: If you wish to use GDS Outputs in public-facing channels (such as editorial reviews, media outlets, or digital storefront integrations), you must obtain a commercial license from Gameproof. Commercial licenses explicitly grant the right to publish, display, and integrate GDS™ Scores and analyses in accordance with the agreed commercial terms.
• Other Restrictions: You may not:
  • Reverse-engineer, decompile, or disassemble GDS;
  • Rent, lease, sublicense, or resell GDS;
  • Use GDS to develop a competing product or service;
  • Circumvent or disable any security or usage restrictions.

6. Content Ownership & Rights

• Private Content: You retain full ownership of any data or content you submit to GDS, unless you explicitly choose to make it publicly available on the GDS community platform. Such private content is treated as confidential and will only be accessed or processed as necessary to deliver and improve the Service, in accordance with our Privacy Policy.
• Public Content: If you explicitly choose to make a review or other contribution public on the GDS community platform, you grant us a worldwide, perpetual, irrevocable license to use, reproduce, distribute, and display that content, including for commercial purposes (such as aggregated scores, comparative dashboards, derived datasets, analytics tools, or editorial use). This allows us to:
  • Enable other users to compare across titles and aggregate co-reviews to improve data quality and statistical accuracy;
  • Ensure the review remains accessible to the broader community, even if your account is modified or deleted.
• We will provide attribution where feasible, but you waive the right to modify or remove public content after publication.
• Feedback: If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use and commercialize that input without obligation or attribution.
• Platform IP: We retain all rights to the GDS platform itself, including its interface, structure, proprietary formats, methodology, and the design and presentation of any reports or visual outputs generated through it.

7. Acceptable Use

• Violate any applicable law, regulation, or third-party rights (including intellectual property, privacy, or publicity rights);
• Transmit malware, spam, or harmful or disruptive code;
• Compromise the security, availability, or integrity of GDS or any other user’s content;
• Post or distribute content that is unlawful, defamatory, obscene, harassing, discriminatory, misleading, or otherwise inappropriate.

8. Confidentiality

We treat all private content you upload to GDS — including unpublished reviews, project drafts, and uploaded metadata — as confidential. However, if you explicitly choose to make a review or other contribution public on the GDS community platform, it is no longer considered confidential. Public content may be viewed by other users and reused by us in accordance with Section 6 and our Privacy Policy.

9. Termination

• By You: Cancel anytime via account settings; cancellation takes effect at the end of the billing cycle.
• By Us: We may suspend or terminate your account immediately for material breaches or unpaid invoices older than 14 days. We may also discontinue the Service, in whole or in part, for business, legal, or technical reasons. If the Service is permanently discontinued during your active Subscription Term, you will receive a prorated refund of prepaid fees for the unused portion.
• Effect: Access ends upon termination or discontinuation. Personal data and private content are permanently deleted 14 days later, unless otherwise required by law.

10. Warranty Disclaimer

GDS is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. While we aim to maintain high Service availability, we do not guarantee uninterrupted or error-free access.

11. Limitation of Liability

To the fullest extent permitted by law, Gameproof’s total liability for any claim under these Terms will not exceed the total amount you paid for the Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data, profits, or opportunity. Gameproof is not responsible for the accuracy, completeness, or legality of any content submitted by users, nor for any reliance placed on reviews or community-generated evaluations.

Disclaimer on AI-Generated Insights

Any AI-powered features (including suggestions, analyses, or recommendations generated by third-party models) are provided for informational purposes only. They do not constitute professional advice, nor do they carry any guarantees. You agree that Gameproof is not liable for any decisions made or outcomes resulting from your use of AI-generated insights. AI services accessed through third-party integrations may be subject to their own terms and privacy policies.

12. Changes to the Terms

We may update these Terms at any time. We will notify you by email or via notice in GDS. Continued use after changes constitutes acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by Dutch law. Disputes will be resolved exclusively in courts of Maastricht, The Netherlands.
